Boards don't create anything. They just oversee the organization. Any decision is just a choice between the 2-3 options presented by the team. Any option is a valid option. They just need to choose the one that most aligns with the mission and vision of the org.
Even when a company is searching for a new CEO, the options are presented by a third-party. They don't create their own options.
Also, they are generally not paid. Which means their time spent in each matter is small and can easily be fooled.
